EX-INDONESIA WAREHOUSE

1. GENERAL

1.1	This quotation or invoice is issued by S.M.H.C PTE LTD. [DBA: Stuart Membery Home Collection]
1.2	All prices are quoted strictly Ex-Factory Indonesia, unless otherwise agreed in writing.
1.3	Pro Forma invoices and quotations remain valid for 30 days only. After this period, pricing may be revised.

2. PAYMENT TERMS

2.1	A 70% deposit is required before manufacture commences. The remaining 30% balance must be paid in full before goods are released from the factory.
2.2	Orders under USD 10,000 require full payment prior to production.
2.3	All deposits and payments are non-refundable. Orders cannot be cancelled or changed once payment is received.
2.4	All payments must be received in full, exactly as invoiced. The customer is responsible for all bank fees and transfer charges.
2.5	Customers must email a copy of the bank transfer confirmation to our office.

3. NB: WE ARE NOT A SHIPPING COMPANY

3.1	S.M.H.C PTE LTD does not provide freight services.
3.2	We may coordinate with freight forwarding partners on your behalf, or you may appoint your own shipping agent.
3.3	Although we are not the shipper, we will assist in coordinating your shipment with the freight forwarder through to your destination.
3.4	Freight charges, customs clearance fees, duties, and destination charges are determined solely by the shipping company and government authorities, and remain the full responsibility of the customer.
3.5	Once goods leave our facility, all responsibility transfers to the customer and the appointed freight forwarder.
3.6	The Customer is strongly advised to arrange appropriate cargo and transit insurance. Once goods leave our facility, all risk of loss, damage, or delay rests solely with the customer and their appointed freight forwarder. S.M.H.C PTE LTD accepts no liability for any loss or damage occurring during transit, regardless of whether shipment coordination assistance has been provided.

4. FREIGHT FORWARDING & SHIPPING

4.1	Freight charges are billed directly to the customer by the shipping company.
4.2	S.M.H.C PTE LTD does not apply surcharges or commissions.
4.3	Shipping estimates exclude import duties, taxes, customs clearance, quarantine inspection fees, and other charges imposed at destination. These remain the sole responsibility of the customer.
4.4	Port-to-port shipping is generally more cost-effective. Port-to-door services are available on request but are typically more expensive.

5. PRODUCTION & DELIVERY CONDITIONS

5.1	Any production or delivery timeframe provided is indicative only.
5.2	S.M.H.C PTE LTD is not liable for delays in production, shipment, or customs clearance. The customer waives the right to refuse delivery or claim compensation for delays.
5.3	Goods not collected or paid for in full within 30 days of the final invoice date will be deemed abandoned and forfeited without refund.

6. WARRANTY

6.1	Indonesian factories do not offer formal warranties.
6.2	In the event of a genuine product issue, S.M.H.C PTE LTD will act in good faith to assist with a resolution. This does not constitute a legal warranty.

7. ACCEPTANCE OF TERMS & CONDITIONS

7.1	Payment of any invoice issued by the Company constitutes the Customer's full and unconditional acceptance of all terms and conditions set forth herein.
